In stores: GROWN UPS (2010, Sony, PG-13, $28) -- An Adam Sandler movie without gross-out gags? Well, not quite. But the comic's latest is a surprisingly relaxed chucklefest that does a good job juggling the crude and the sweet. Sandler co-wrote the script about five middle- aged men (Sandler, Kevin James, Chris Rock, Rob Schneider, David Slade) who gather together with their wives (Salma Hayek, Maria Bello, Maya Rudolph and Joyce Van Patten) and kids for their sixth- grade basketball coach's funeral. After the service, the old pals spend a weekend skipping stones, riding water slides and reminiscing about the good old days. Director (and Sandler regular ) Dennis Dugan ("Happy Gilmore," "Big Daddy") keeps the story moving so fast you don't realize there isn't one. Extras: featurette and ...

The public display of symbols with religious significance has been the subject of extensive litigation in the last fifty years. That litigation culminated in two cases recently decided by the Supreme Court involving challenges to the public display of the Ten Commandments, McCreary County, Kentucky v. In a plurality opinion in Van Orden, it affirmed a display of the Ten Commandments on the grounds of the Texas State Capitol, leaving the lower courts to sort out the principles that resulted in such disparate results regarding substantially si...

The American limited liability company (LLC) is like an incorporated partnership. The LLC allows private business owners to form a company that provides protection from personal liability for business debts, without incurring a second level of corporate federal income tax on the business entity's earnings. A blended theoretical model for LLC governance is advanced that recognizes the important role that the law plays in shaping expectations of trustworthy behavior. The Mandatory Core Model permits contractual innovation within the framework of a mandatory core of minimum statutory fiduciary duties. The Mandatory Core Model creates the framework within which courts can enforce LLC operating agreements while also addressing abusive investor conduct. A purely contractarian paradigm presupp...
