A website containing advertising and basic contact information is insufficient to establish the minimum contacts necessary for personal jurisdiction, but the filing of a Form D with the Division of Securities is sufficient. State law regulating securities is preempted under Section 77r, Title 15, U.S.Code if the securities at issue actually are "covered securities." Advertising posted on a generally available website constitutes "general solicitation or general advertising," thus disqualifying issuers of securities from claiming a Rule 506 exemptoin from security registration. Because issuers bear the burden of proving exemptions from state registration requirements, an issuer cannot claim the benefit of an exemption if it fails to provide evidence as to all elements of the exemption.
