Foreign direct investment is vital to the continued growth and vitality of the U.S. economy. Except for transactions affecting national security, foreign investment receives little scrutiny from the U.S. government. This Note addresses the appropriate level of congressional influence in the review of foreign-investment transactions. In regulating foreign investment, Congress must delicately balance the competing interests of national security and open investment. The latest amendment to regulations in this area is the Foreign Investment and National Security Act of 2007 ("FINSA"). Last summer, a Chinese telecom- munications giant founded by a former People's Lib- eration Army (PLA) engi- neer was rebuffed in its effort to sell vast quantities of equipment to Sprint Nextel - an American company that provides communication services to the U.S. Defense Department and other government agencies. An interagency group known as the Committee on Foreign Investment in the United States (CFIUS) took a hard look at the proposal and, quite sensibly, rejected it on national security grounds.
Unbeknownst to CFIUS at the time, Huawei was making another, unscrutinized and problematic investment in the United States. It bought pieces of 3Leaf, a now-insolvent pioneer in "cloud computing" technology, including intellectual property with obvious military applications.
