Microsemi Corp has agreed to acquire PowerDsine Ltd, an Israeli company, for $245 million, or $168 million net of cash. Under the terms of the deal, Microsemi will pay $8.25 in cash and 0.14 Microsemi shares for each share of PowerDsine. Based on recent closing prices, the deal values PowerDsine at $11 per share, a premium of 18.5% over the Israeli company's closing price prior to the deal announcement. PowerDsine designs semiconductors and related equipment used to transmit electrical power over Ethernet data lines in local area networks. Microsemi Corporation manufactures power management semiconductors used to regulate electricity for electronic systems.
