Western Digital Corp has entered into a definitive agreement to acquire Komag Inc in a cash tender offer of $32.25 per share. Komag will also pay down $220 million in Komag debt, bringing the deal value to approximately $1 billion. Komag produces thin-film disks used in the production of disk drives. Western Digital is one of the largest independent makers of hard disk drives. The acquisition of Komag strengthens Western Digital's position in the hard-drive market by allowing the company to integrate the production of critical hard drive components.
