Baltimore-based Performax Inc. has acquired a Minneapolis firm in a move that doubles the size of its client roster and more than doubles its number of employees, making it the fourth largest health benefit services company in the nation.
The combination of Performax and Corporate Benefit Services of America will be known as CBSA Performax. The 500-employee company will be headquartered in Baltimore.

Performax, which has a sales and service office and a pharmacy benefit company in Salt Lake City, said Monday it will merge with Corporate Benefit Services of America.
Both are private companies and terms of the transaction were not disclosed.

This article examines the federal government's growing use of 18 USC § 1346 to prosecute public company executives for breaching their fiduciary duties. Section 1346 is a controversial but under-examined statute making it a felony to engage in a scheme "to deprive another of the intangible right of honest services."
