  • This article tests the views against recent evidence of corporate conduct. Two issues are explored: whether law is determinative of corporate conduct falling within its scope, and what role cost-benefit analysis plays in corporate decisions on legal compliance. This article examined the conduct of securities analysts in response to the vague legal mandate provided in the federal securities law. Yet the legal regime faced by securities analysts is a regime that is common in US law. It is a regime based on: 1. a vague legal mandate, that leads to ease of denial of wrongdoing and cost-benefit evaluations, 2. prerequisites to legal liability, that may be individually justified but are difficult to establish and cause actors to view the risk of sanction as a low probability risk, and 3. reli...

  • Investors will continue to seek higher returns than will be available on treasury notes and bonds in 2010, providing good demand for corporate debt as the US credit markets return to normal, analysts say. The demand for corporate debt is likely to benefit from the lack of more attractive alternatives amid slow US and European growth, historically low yields and a heavy supply of government bonds, according to fixed-income strategists in New York and London at UK-based Barclays Capital. High-grade US corporate bonds posted double-digit excess returns compared to zero-risk treasuries in 2009, and high-yield corporate bonds had record-breaking total returns (price gains plus interest) of more than 50%.

  • What's in store for the global semiconductor sector this year after its strong recovery last year, and who are the players likely to benefit? THE global semiconductor sector bounced back strongly last year after slumping to one of its worst patches in a decade in 2009. Analysts, however, do not expect a `blowing' growth this year, given cyclical considerations, although they do not foresee any great weaknesses either. Industry estimates point to some 6% expansion for 2011.

  • The separation of ownership and control publicized by Berle and Means in 1932 persists today. Domination of public companies by self-serving and ineffective executives costs America billions of dollars every year and contributed to the current economic meltdown. Repeated efforts to solve this problem -- including the Sarbanes-Oxley Act, expanded disclosure duties, and more stringent requirements for director independence -- have had little benefit and have sometimes made matters worse. The flaws in our corporate governance system are a growing problem for America's economy as disillusioned investors increasingly place their capital in other countries. Nonetheless, proposals for greater shareholder power have encountered criticisms: various shareholders have conflicting goals; shareholde...
