  • It's vitally important to management accountants and senior executives that financial disclosures adequately represent the performance, financial condition, and prospects of a publicly traded company -- especially now, given the certification requirements of the Sarbanes-Oxley Act of 2002. Financial statement analysis involves exploring a company's numbers in search of explanations for past performance as well as telltale signs about the future. Like a detective, the analyst is seeking the key to unravel a mystery or patterns to help organize a vast array of numbers. Financial analysis also has been influenced by a number of more recent developments. In 2007, Walmart was the world's largest company by sales and the world's largest private-sector employer with about 1.9 million on its pa...

  • Learning Care, a publicly traded child care provider, is one of an increasing number of companies that have discovered that a a focused, well-executed human resources strategy can be a powerful tool for creating wealth for shareholders. A growing body of research shows that effective human resources practices, ranging from recruiting efficiency to skillful internal communication, are strongly linked to a company's stock market performance. For example, Watson Wyatt's Human Capital Index, a cumulative analysis of the practices and financial performance of nearly 150 large North American companies, has found that recruiting prowess is a strong indicator of higher shareholder value. In addition to recruiting excellence, Watson Wyatt has identified good training and development, above-marke...

  • According to most research, firms benefit from being listed on the New York Stock Exchange (NYSE). Nevertheless, 224 of 640 firms that went public from 1993 through 2000 and were eligible for a NYSE listing chose to list their stock on Nasdaq. We hypothesize that this choice may be related to Securities and Exchange Commission (SEC) Rule 144. The rule regulates the sale of restricted stock by limiting the amount of unregistered stock that can be sold by an individual. We investigate the determinants of post-IPO sales of restricted stock, examine IPO firms' listing choices, and find evidence consistent with firms selecting Nasdaq to reduce the effect of the limits on selling restricted stock imposed by the SEC's Rule 144. Venture capitalists play an important role in this listing decisio...

  • This Essay offers an executive compensation reform proposal that is especially addressed to firms receiving government financial assistance and thought to pose a systemic risk, although we think that all firms should consider its adoption. Executive compensation reform should lead to policies that are simple, transparent, and focused on creating and sustaining long-term shareholder value. With these criteria in mind, we suggest that executive incentive compensation plans should consist only of restricted stock and restricted stock options, restricted in the sense that the shares cannot be sold or the option cannot be exercised for a period of at least two to four years after the executive's resignation or last day in office. We would permit a minor amount to be paid out to executives cu...

  • As Vietnam emerges into world markets, Vietnamese organizations are facing the predicament of how to avoid the low-cost labor trap and move up the production value-chain by improving quality and productivity. Continuous improvement (CI) practices have proved fundamental to building and sustaining competitive advantage in other Asian countries such as Japan, Singapore, and Malaysia. If Vietnamese organizations are to pursue higher value-added activities, CI will be critical for them, too. Despite the tremendous interest in Vietnam from the international business community, little research on Vietnamese management practices has been done, particularly on the use of CI techniques. The language barrier, lack of reliable business data, and the culture of government and corporate secrecy in V...
